Jupiter, Florida – A new publication, entitled Mergers & Acquisitions 101 is now available on Authored by Robert C. Hackney, the book is designed for business executives and entrepreneurs who are interested in learning more about the nuts and bolts of the merger and acquisition process.

The book discusses various financing techniques as well as insights into valuation of target companies. As part of the process, the participants must evaluate numerous tax and non-tax considerations to determine the most advantageous structure for each particular merger or acquisition. Business professionals will gain insight from M&A 101 which will help them work more smoothly with the other participants, particularly the lawyers and accountants. Topics such as takeover defenses, securities law implications, and the due diligence process are also covered in the book. To get a real hands-on feel for the documentation in these transactions, the book also includes samples of a merger agreement, an asset purchase agreement, and a lengthy due diligence checklist used to accumulate all of the necessary information to evaluate a merger candidate, among other samples.

The Author is Robert C. Hackney, who has practiced law for nearly four decades. Mr. Hackney was raised in the Miami, Florida area and lives in Jupiter, Florida, with his wife and two children.

Mr. Hackney is also the author of Let’s Bring America Back, which has been referred to as a “patriotic motivational” book. He attended the University of Miami, received a Bachelor of Arts degree from Florida State University, and a Juris Doctorate degree from Florida’s oldest law school, Stetson University College of Law. Upon graduation from law school, he went to work for a state agency that regulates a number of businesses, primarily in the securities industry. Leaving government service, he joined a large law firm headed by a former United States Senator. His practice is now divided among his two offices in Jupiter and Stuart, Florida.

His legal career over the past nearly four decades has been broad. He has experienced every position from a managing partner of a large law firm with four offices, to a sole practitioner. He has handled matters ranging from multimillion dollar mergers to murder trials. His broad corporate law experience has ranged from representing “Mom and Pop” type companies to major domestic and international corporations. He has been involved in mergers involving Fortune 500 companies as well as private companies, like his recent representation of Major League Football, the new professional spring football league.

During his career he has been involved in historic cases, including the Mel Fisher cases involving the Spanish treasure galleon, the Atocha. He was involved in litigation arising from the Mariel boatlift, and was on the docks at the Navy base in Key West during the boatlift, while boats were streaming into the base and thousands of Cuban refugees were being processed on the docks. He represented treasure salvage companies on Florida’s Treasure Coast, which derived its name from the sinking of a treasure fleet during a hurricane in 1715. He has represented indigent clients and international celebrities, and everyone in between.

Mr. Hackney is a member of The Florida Bar, the United States District Court, Southern District of Florida, the United States District Court, Middle District of Florida, the United States Court of Appeals for the Fifth Circuit, and the United States Court of Appeals for the Eleventh Circuit.

He has lectured and authored publications related to business and legal topics. Mr. Hackney has been active in many civic and community organizations, and has served as President of the Marine Industry Education Foundation, President of the Rotary Club of Palm Beach Gardens, Florida, President of the Guild of Catholic Lawyers of the Diocese of Palm Beach, founder of the Alternative Energy Association, and is listed in the Who's Who Registry.
